Terms of Service

Agreement to these terms
These Terms of Service are a contract between you and Kaizntree, Inc. They cover access to and use of our websites and Kaizntree OS, including the JP AI operations assistant. Those products are the Services.
By using the Services, or by signing an order, you agree to these Terms. If you use the Services for a company, you confirm that you can bind that company, and you means that company.
The Services
Kaizntree provides operations software and automation for consumer brands. We may change features as we improve the product. We may suspend access when needed for security, maintenance, or to prevent harm.
Accounts
You must give us accurate account information and keep login credentials confidential. You are responsible for activity under your account. Email hello@kaizntree.com promptly if you think someone is using the account without permission.
Customer data
You keep all rights in the data, files, and content you submit to the Services. You give us a limited license to host, process, and display that data only so we can provide, secure, and support the Services, and as described in the Privacy Policy.
You confirm that you have the rights needed to submit that data, including personal information about your team, customers, or suppliers.
Acceptable use
You will not misuse the Services. You will not break or bypass security, disrupt the Services, access another customer’s data, or reverse engineer the Services except where the law forbids that restriction.
You will not upload unlawful content, infringe someone else’s rights, or use the Services to violate the law. AI output is assistance, not a substitute for your own review of operational, financial, or compliance decisions.
Fees
Paid use of the Services is billed as stated in an order, proposal, or checkout page. Fees are in U.S. dollars unless we agree otherwise. Except where the law requires a refund, fees are non-refundable. If a payment is overdue, we may suspend the Services after notice.
Intellectual property
We and our licensors own the Services, including the software, design, and trademarks. These Terms do not transfer any ownership of the Services to you. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription, for your internal business, in line with these Terms.
Confidentiality
Each party will protect the other party’s non-public business information and use it only to carry out these Terms. This duty does not cover information that is public through no fault of the receiving party, that the receiving party already knew, or that it developed independently.
Third-party services
The Services may connect to tools you choose, such as spreadsheets, commerce systems, or payment processors. Those tools have their own terms. We are not responsible for third-party services.
Disclaimers
The Services are provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted or error-free, or that AI output will be accurate or complete. You are responsible for reviewing results before you rely on them.
Limitation of liability
To the fullest extent the law allows, Kaizntree and its officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
Our total liability for any claim relating to the Services or these Terms will not exceed the amount you paid us for the Services in the 12 months before the claim. If you have not paid us, the cap is one hundred U.S. dollars.
These limits do not apply where the law does not allow them, including liability for fraud or willful misconduct.
Indemnity
You will defend Kaizntree against claims brought by a third party arising from your customer data, your use of the Services in breach of these Terms, or your violation of someone else’s rights, and you will pay the resulting damages and reasonable legal costs.
Term and ending access
You may stop using the Services at any time. We may suspend or close access if you materially breach these Terms and do not fix the breach within 30 days after we notify you, or immediately if the breach is serious, unlawful, or a security risk.
Sections that should keep applying after the Terms end will keep applying. That includes ownership, confidentiality, disclaimers, limits of liability, and indemnity.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware and the applicable federal laws of the United States, without regard to conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction.
Either party may still ask any court with jurisdiction for injunctive relief to stop misuse of intellectual property or confidential information. Before filing a claim, the parties will try in good faith to resolve the dispute for 30 days after written notice.
Other terms
These Terms, any order you sign with us, and the Privacy Policy are the entire agreement on this subject. If a court holds one part unenforceable, the rest stays in effect.
We may update these Terms by posting a new version on this page and changing the effective date. If you keep using the Services after the update takes effect, the new Terms apply. You may not assign these Terms without our consent. We may assign them to a successor of the business.
